Payment terms

These Payment Terms regulate, amongst other things, the payments which Users make and/or receive pursuant to the Services provided through the Site.
Please read the Payment Terms before making or receiving payments for the Services on or through the Site. By registering an account, accepting our Terms of Use incorporating these Payment Terms, and/or by making or receiving payments for the Services offered through the Site, you accept and agree to be bound by our Terms of Use, incorporating these Payment Terms.

1. Definitions

1.1

All the definitions and terms incorporated in the Terms of Use shall have the same meaning assigned to them in terms thereof when referred to in the course of these Payment Terms or any other terms, policies and the like incorporated in the Terms of Use, as may be amended from time to time. The terms below shall have the following meanings assigned to them, namely:

1.1.1

“Free Bookings” means any Orders placed by Customers subject to a maximum of (six) 6 which will not subject to the Subscription Fee however in the case of Digital Services only, are subject to the Service Fee;

1.1.2

“Secured Payment Service Provider” means our appointed payment service providers whom provide a secure payment gateway and system for purposes of making payments to Customers and Service Providers which includes the collection of funds from Customers, remittances to Service Providers and currency exchange services;

1.1.3

“Service Fee” means 15% of the sum total of the amount payable to the Service Provider per Order;

1.1.4

“Subscription Fee” means R99.99 inclusive of Value Added Tax (“VAT”) per month or any other amount as may be published on the Site from time to time.

2. General

2.1

Three (3) Free Bookings are applicable for Physical Services and Digital Services.

2.2

In the case of Digital Services, the Service Fee is applicable, regardless of the Free Bookings.

2.3

After the Free Bookings, you are required to pay the Subscription Fee in order to have full accessibility and use of the Site. It is important to note that for Digital Services, the Service Fee is applicable in addition to the Subscription Fee.

2.4

For Digital Service Providers, for each Order successfully complete, the Digital Service Provider’s account will be credited with an amount specified on the Order less the Service Fee. In this regard, you irrevocably and unconditionally authorise Uptooyoo to debit the Service Fee from the funds paid by the Customer.

2.5

Uptooyoo credits Service Providers once an Order is completed. In this regard, you are to allow for a period of 14 (fourteen) calendar days for payment to be released into your Account.

2.6

If an Order is cancelled for any reason, the funds will be dealt with in accordance with the provisions of clause 4.1 below.

2.7

Users are responsible for paying any direct or indirect taxes, VAT or income tax which may be applicable depending on residency, location or otherwise under the provisions of their jurisdiction.

2.8

Our authorised Payment Service Provider/s will facilitate all payments in terms of Orders including pursuant to any cancellations or refunds. Uptooyoo does not receive any funds directly and the User agrees, understands and accepts that all payments received by Uptooyoo are received on behalf of the Service Provider as its limited authorised payment collection agent solely for the purposes of accepting payment via the Payment Service Provider from a Customer and remitting payments to the Service Provider. The Customer’s obligation to make payment to the Service Provider will be satisfied upon receipt of payment by Uptooyoo via its Payment Service Provider and Uptooyoo, via its Payment Service Provider is responsible for remitting funds to the Service Provider in the manner and on the terms described in these Payment Terms.

2.9

In the event that Uptooyoo, via its Payment Service Provider does not remit any amounts to the Service Provider, the Service Providers will have legal recourse only against Uptooyoo only and not the Customer.

2.10

Uptooyoo is not a Payment Services Provider. Uptooyoo partners with Payment Service Providers for purposes of collecting payments from Customers, transferring payments to the Services Provider and holding funds in connection with these Payment Terms pending the fulfilment of Orders. For sake of clarity, no payments are made by Uptooyoo and all payments are facilitated and made through Payment Service Providers appointed by Uptooyoo.

2.11

As a User, you agree to be bound by any additional terms and conditions provided by the Payment Services Provider, as may be amended by the Payment Services Provider from time to time.

3. Taxes

3.1

Users are responsible for paying any direct or indirect taxes including any VAT, income tax or any other taxes such as GST which may be applied to them depending on residency location or otherwise under the relevant provisions of their jurisdiction.

4. Disputes

4.1

Service Providers and Customers are encouraged to settle any disputes, conflicts, differences, challenges or any other difficulties they may encounter with regards to Orders. Whilst Uptooyoo may offer mechanisms and/or tools to facilitate the resolution of disputes , you use any such tools or alternative dispute resolution mechanisms out of your own accord and under no circumstances may hold Uptooyoo, any of its officers, directors, agents, employees or representatives liable for any claim howsoever arising at any stage and you indemnify and hold Uptooyoo harmless against any such claims which may arise in this regard, whether past, present or future.

4.2

In the event of dispute, the Customer or the Service Provider, as the case may be, is required to initiate a dispute by pushing the “Log a dispute” button provided for this purpose.

4.3

Users are encouraged to respond to all the issues raised in the course of the lodgement of the dispute promptly and use their best endeavours to resolve disputes amicably and as soon as possible after lodgement of the dispute.

4.4

Uptooyoo will receive notification of the dispute upon the dispute being logged and shall retain all funds pending the outcome of the dispute alternatively upon receipt of an order of Court having competent jurisdiction.

4.5

In the case of completed Order’s where the work has been submitted by the Service Provider as envisioned in terms of the Order, the Customer has 5 (five) calendar days within which to either accept, request a revision, or, if applicable, log a dispute.

4.6

If however the Customer does not take any action as contemplated in clause 4.5 above by either accepting, requesting a revision, or, if applicable or logging a dispute within 5 (five) calendar days of submission by the Service Provider of the works in terms of the Order, such conduct would be deemed acceptance of the work submitted by the Service Provider entitling Uptooyoo to make payment to the Service Provider within the stipulated payment period referred to in clause 2.5 above.

5. Chargebacks

5.1

If chargebacks are implemented by any of the Users, Uptooyoo will provide all the details and facts relating thereto to the relevant financial institution.

6. Refunds

6.1

Uptooyoo does not automatically refund any payments made for cancelled or disputed Orders unless in the case where there is consensus between the parties or which is communicated to Uptooyoo in writing or upon receipt an order of a Court having competent jurisdiction.

6.2

Whilst we encourage parties to settle the disputes amicably between themselves, in instances where Service Providers may agree to partial refunds or otherwise, Uptooyoo may only effect the refund upon acceptance by the Customer and such acceptance being received by Uptooyoo in writing.

7. Amendments

7.1

Uptooyoo may amend, vary, supplement or change these Payment Terms at any stage in its sole and absolute discretion by publishing the updated version on the Site.

7.2

You agree that if after the dates on which these Payment Terms have changed, that you continue to use the Services, your continued use of the Services will be deemed as acceptance of theses amended Payment Terms. If you do not agree to the amended terms, you must terminate your use of the Site and Services. See our cancellation policy in the Terms of Use.

7.3

Uptooyoo may amend these terms due to the changes in the Site and in the course of any change to the Site at any stage in the future.
